Terms of Service

By accessing or using SimpleHQ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including administrators and any individuals who access or use the Service through an organization.

SimpleHQ is a shared inbox platform that enables businesses to manage Instagram Direct Messages for their Instagram Professional accounts (Business and Creator accounts) using Meta's official APIs.

The Service allows you to:

• Connect Instagram Professional accounts via OAuth
• Receive inbound Direct Messages in real-time via webhooks
• View and manage conversations from a centralized dashboard
• Send replies to Instagram users within the 24-hour messaging window

To use SimpleHQ, you must:

• Have an Instagram Business or Creator account
• Have a Facebook Page connected to your Instagram account
• Be authorized to manage the Instagram account and Facebook Page
• Be at least 18 years of age
• Provide accurate and complete registration information

Personal Instagram accounts are not supported due to limitations of Meta's official APIs. You must convert to a Professional account to use this Service.

You agree to use the Service only for lawful purposes. You shall not:

• Send spam, bulk unsolicited messages, or automated promotional content
• Harass, abuse, or harm others through the Service
• Violate Instagram's Terms of Use or Community Guidelines
• Violate Meta's Platform Terms or Developer Policies
• Attempt to circumvent the 24-hour messaging window restrictions
• Use the Service for any illegal or unauthorized purpose
• Share your account credentials with unauthorized parties
• Attempt to reverse engineer, decompile, or hack the Service
• Interfere with the proper functioning of the Service

SimpleHQ operates using Meta's official APIs. By using this Service, you acknowledge:

• 24-Hour Messaging Window: You can only respond to users within 24 hours of their last message. After this window closes, you cannot send messages until the user initiates contact again.
• Professional Accounts Only: The Instagram Messaging API is only available for Business and Creator accounts.
• No Group Chats: The API does not support group conversations.
• Human Review Required: All messages must be reviewed and sent by humans. Fully automated messaging is not permitted.

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your data.

You are responsible for obtaining any necessary consents from your Instagram followers and customers before using the Service to communicate with them.

The Service, including its original content, features, and functionality, is owned by SimpleHQ and is protected by copyright, trademark, and other intellectual property laws.

Instagram and Meta are trademarks of Meta Platforms, Inc. SimpleHQ is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Messages will be delivered successfully in all cases
• The Service will meet your specific requirements
• Meta/Instagram APIs will remain available or unchanged

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLEHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless SimpleHQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may also disconnect your accounts and stop using the Service at any time.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SimpleHQ operates, without regard to its conflict of law provisions.
